Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Cognityone Ltd ("Cognityone", "Tracsio", "we", "us", or "our"). They govern your access to and use of the Tracsio website, software, AI-assisted workspace, billing features, and related services (collectively, the "Services").
By creating an account, accessing the website, or using the Services, you agree to these Terms and to our Privacy Policy. If you use Tracsio on behalf of a company or another legal entity, you represent that you have authority to bind that entity to these Terms.
1. Definitions
"Customer Data" means project content, onboarding answers, workspace data, prompts, collaborator information, generated resources, and other content you or your collaborators submit to or create in Tracsio. "AI Output" means text, summaries, recommendations, generated markdown resources, and other material produced by AI features. "Tracsio Materials" means the Services, website, software, user interface, workflows, templates, documentation, designs, systems, algorithms, and technology we provide. "Usage Data" means telemetry, logs, analytics, billing status, performance data, and other technical data generated through use of the Services.
2. Eligibility and account registration
You may use the Services only if you are at least 18 years old, or the age of majority in your jurisdiction, and you can enter into a binding agreement. The Services are not intended for children.
You are responsible for the accuracy of account information, for keeping login credentials secure, and for all activity that occurs under your account or workspace. Authentication is provided through Clerk, and use of authentication features may be subject to Clerk's own terms and policies.
3. License to use Tracsio
Subject to these Terms and your subscription status, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes. This license does not transfer ownership of the Services or Tracsio Materials to you.
4. Acceptable use and restrictions
You agree not to, and not to allow others to:
- use the Services in violation of law, sanctions, or regulations;
- share account credentials or allow unauthorized access;
- copy, resell, lease, sublicense, or make the Services available to third parties as a competing or service bureau offering;
- reverse engineer, decompile, scrape, or attempt to derive source code, model logic, prompts, systems, or non-public APIs;
- bypass, disable, or interfere with security, billing, usage, or access controls;
- upload malicious code, attempt unauthorized access, overload the Services, or disrupt other users;
- harass, defame, impersonate, deceive, or otherwise harm others;
- submit Customer Data that infringes, misappropriates, or violates rights of any third party;
- use the Services or AI Output for medical, legal, financial, safety-critical, employment, credit, housing, insurance, or other high-risk decisions without appropriate independent review;
- use the Services, prompts, or AI Output to train, develop, or improve a competing AI or product validation service.
5. Customer Data
As between you and Tracsio, you retain ownership of your Customer Data. You grant us a worldwide, non-exclusive license to host, copy, process, transmit, display, analyze, and modify Customer Data as needed to provide, secure, support, and improve the Services.
You are responsible for Customer Data you submit and for ensuring that you have all rights, notices, consents, and legal bases needed to use it with Tracsio. You agree not to submit protected health information, government identifiers, financial account numbers, biometric data, special-category personal data, or other sensitive regulated data unless we have agreed to that in writing.
6. AI features and AI Output
Tracsio uses AI systems to help generate lean canvas summaries, workspace summaries, task descriptions, experiment support, and markdown resources based on the project context you provide. Relevant Customer Data may be sent to OpenRouter and underlying AI model providers to produce the requested AI Output.
AI Output may be inaccurate, incomplete, non-unique, or unsuitable for your use case. You are solely responsible for reviewing, validating, editing, and deciding whether to use AI Output. Tracsio provides decision support and product validation workflows; it does not provide legal, financial, medical, tax, investment, or other professional advice.
As between you and Tracsio, you may use AI Output generated for you, subject to these Terms, applicable law, and any third-party rights or provider terms that may apply. We do not guarantee that AI Output is unique or free from third-party claims.
7. Privacy and third-party providers
Our processing of personal data is described in our Privacy Policy. The Services depend on third-party providers, including Clerk for authentication, Convex for backend and database infrastructure, Stripe for billing and payments, PostHog and Vercel Analytics for analytics, OpenRouter and relevant AI model providers for AI processing, and hosting and infrastructure providers used to operate the website and product.
When you use features that rely on third-party providers, your data may be processed by those providers under their own terms and privacy policies. Stripe processes payment and transaction data directly under its own terms and Privacy Policy. Clerk processes account and authentication data under its own terms and Privacy Policy.
8. Subscriptions, trials, billing, and payment
Tracsio is offered through paid subscription plans described on the website or inside the product. Current self-serve plans include a weekly subscription at $7 per week and a monthly subscription at $20 per month, each with a 3-day trial for eligible users. Prices, features, trial availability, and plan limits may change from time to time, but changes will not reduce your rights for a billing period you have already paid for unless required by law or these Terms.
Paid subscriptions renew automatically unless cancelled before the renewal date. You authorize us and Stripe to charge your selected payment method for subscription fees, applicable taxes, and other amounts due. You are responsible for keeping payment information current and for any taxes, duties, or governmental charges other than taxes based on our income.
You may cancel through the billing settings or the Stripe billing portal. Cancellation stops future renewals but does not automatically refund past charges. Except where required by law or expressly stated in writing, fees are non-refundable and we do not provide refunds or credits for partial billing periods.
If payment fails, your subscription becomes past due, or we detect billing abuse, we may limit or suspend access to paid features. We may provide a short grace period, but we are not required to do so.
9. Ownership
We and our licensors own all rights, title, and interest in the Services and Tracsio Materials, including software, infrastructure, user interfaces, workflows, templates, designs, documentation, models, systems, and improvements. No rights are granted except as expressly stated in these Terms.
You own your Customer Data. We may use Usage Data and aggregated or anonymized information to operate, secure, analyze, and improve the Services, develop new features, and understand product performance.
If you provide feedback, suggestions, or ideas, you grant us the right to use them without restriction or compensation.
10. Service availability and changes
We aim to provide a reliable service, but we do not guarantee that the Services will be uninterrupted, secure, or error-free. The Services may be unavailable because of maintenance, product changes, outages, capacity limits, third-party provider failures, security issues, or events outside our reasonable control.
We may modify, suspend, discontinue, or limit parts of the Services at any time. Where practical, we will provide notice of material changes that affect paid users.
11. Suspension and termination
We may suspend or terminate your access immediately if we reasonably believe that you violated these Terms, created legal or security risk, misused the Services, failed to pay amounts due, or engaged in fraudulent, abusive, or unlawful activity.
You may stop using Tracsio or cancel your subscription at any time. Termination ends your right to access the Services, but it does not affect obligations that should survive, including payment obligations, ownership provisions, disclaimers, limitations of liability, indemnification, and dispute terms.
12. Publicity
If you use Tracsio on behalf of a business, you grant us permission to identify that business as a Tracsio customer using its name and logo in customer lists, website references, and marketing materials. You may revoke this permission by contacting us at hello@tracsio.com.
13. Confidentiality
You may receive non-public information about Tracsio, including product plans, private features, security information, pricing, business information, or technical details. You agree to use that information only for your use of the Services and to protect it from unauthorized disclosure.
14. Disclaimers
The Services, Tracsio Materials, and AI Output are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability.
We do not guarantee business outcomes, product-market fit, conversion lift, revenue growth, customer acquisition, investment results, or the accuracy or suitability of generated hypotheses, experiments, summaries, or recommendations.
15. Indemnification
You agree to defend, indemnify, and hold harmless Cognityone, its affiliates, officers, employees, contractors, licensors, and service providers from claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from or related to your Customer Data, your use or misuse of the Services, your violation of these Terms, your violation of law, or your violation of third-party rights or provider terms.
16. Limitation of liability
To the fullest extent permitted by law, Cognityone and its affiliates, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, loss of goodwill, or the cost of substitute services, arising out of or related to the Services or these Terms.
To the fullest extent permitted by law, our total liability for all claims arising out of or related to the Services or these Terms will not exceed the amount you paid to us for the Services in the 12 months before the event giving rise to the claim, or $100 if you have not paid us in that period.
17. Export controls and sanctions
You may not use the Services if you are located in, or acting on behalf of a person or entity located in, a country or territory subject to applicable embargoes or sanctions, or if you are on a restricted-party list. You represent that your use of the Services complies with applicable export control and sanctions laws.
18. Governing law and disputes
These Terms and any dispute arising out of or related to them or the Services are governed by the laws of England and Wales, without regard to conflict-of-law principles, unless mandatory law gives you rights that cannot be waived. Courts located in England and Wales will have exclusive jurisdiction, except where mandatory law requires otherwise.
19. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as updating the date above, posting a notice in the Services, or sending an email. Continued use of the Services after the updated Terms take effect means you accept the updated Terms.
20. Miscellaneous
These Terms, together with the Privacy Policy and any applicable order, plan, or written agreement, are the entire agreement between you and us regarding the Services. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
If any provision is found invalid or unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. Section headings are for convenience only.
